Dow has an opening for a Benefits Attorney in its HR Legal group with a preferred location of Midland, MI (other locations within the U.S. may be considered).
This role serves as an Attorney that independently provides legal counsel to clients in practice area on all aspects of legal risk across a wide range of issues, in consultation with internal and external legal experts as appropriate. Requires in-depth conceptual and practical knowledge in job discipline and basic knowledge of related job disciplines to solve complex problems. May lead projects or project steps within a broader project, with manageable risks and resource requirements, or may have accountability for on-going activities or objectives. Acts as a resource for colleagues with less experience. Works independently, receives minimal guidance.
Responsibilities / Duties:
Independently provides legal counsel to clients.
Provides client legal training and education on a variety of topics.
Reviews and drafts legal documents.
Manages outside counsel and other external resources.
Collaborates with internal legal subject matter experts and other Company resources.
Directs paralegals and other support staff.
This role, with oversight from leadership, will provide legal advice to members of the company's Human Resources function on legal issues associated with U.S. Employee Benefit Plans and Compensation Arrangements and will review relevant company policies and programs for legal risk and recommend updates and revisions.
Qualified Benefit Plans:
Provide legal counsel in connection with all aspects of tax-qualified defined contribution retirement plans and defined benefit pension plans, as well as the company's various health and welfare benefit plans, including (i) administration, (ii) amendment, (iii) periodic reporting and filings, (iv) fiduciary duties, (v) individual eligibility and vesting determinations, (vi) compliance with COBRA, ERISA, HIPAA, the Internal Revenue Code, and the cafeteria plan regulations, and (vii) audits and negotiations with various governmental and quasi-governmental regulators, including the Department of Labor, Internal Revenue Service, and Pension Benefit Guaranty Corporation.
Nonqualified Deferred Compensation Plans:
Advise on the structure, implementation, and administration of non-qualified employee compensation plans, including the associated federal tax implications under section 409A of the Internal Revenue Code.
Compensation Programs:
Advise on the structure, implementation and administration of compensation programs, including annual bonus plans. Provide oversight and input into equity compensation plans.
Required Qualifications:
Juris Doctor or Master of Laws.
A minimum of 2 years practicing as an HR Legal Attorney
Admission to State Bar or eligible for admission.
A minimum requirement for this U.S. based position is the ability to work legally in the United States. No visa sponsorship/support is available for this position, including for any type of U.S. permanent residency (green card) process.
