Job Purpose
The Associate General Counsel, Contracts provides legal counsel and advice on a wide variety of corporate matters, with a specific focus on commercial contracts. The Associate General Counsel, Contracts provides objective, thorough, timely, and well-researched legal advice that balances the business objectives and goals of the Company with legal risks, and assists the Company in achieving its business objectives. The Associate General Counsel strives to collaborate and partner with its business clients in navigating internal corporate policies and procedures and contractual, legal, and regulatory obligations. Primarily responsible for reviewing, negotiating, editing, and drafting contractual documents relating to all types of commercial agreements, including information technology contracts, cyber security contracts, contractor and consultant agreements, purchasing agreements, administrative agreements, confidentiality agreements, intellectual property licenses, professional engagement letters, settlement agreements, hotel agreements, event agreements, and other goods and service agreements.
Essential Job Duties and Responsibilities
Serve as a primary legal contact and contract negotiator for commercial contracts.
Facilitate the contracts review process, including providing advice to business personnel, participating in contract negotiations, and coordinating contract review by other Attorneys as needed.
Routinely review and provide advice to business personnel regarding the interpretation of existing contracts.
Support and promote compliance of internal policies and procedures surrounding the contracting process.
Support and contribute to the internal contract database, including contract review requests, status of contract reviews, and reporting as required.
Oversee outside counsel as needed.
Develop expertise and serve as subject matter expert on various matters as requested by leadership.

Ability to establish and maintain effective working relationships with superiors and colleagues, as well as internal and external contacts.

Experience with a contract management system preferred.
Strong analytical and problem-solving skills.
Strong collaboration and interpersonal skills.
Ability to take a proactive long-term view of business goals and objectives in order to achieve strategic business results.
Education and Experience
Juris Doctorate from ABA accredited law school required.
Member in good standing of a State Bar Association required.
10+ years of contracting or contract law experience required.
IT Contracting experience preferred
Cyber security and regulation experience preferred
