Job Summary
Provides expertise and superior guidance on legal support and services in matters of complexity, sensitivity, and significant financial impact to the company. Serves as expert with in-depth legal knowledge in a specialized area. Leads legal projects and mentors' other team members to ensure success of legal activities. Leads legal matters that relate to integrated resource and generation planning, rate making and rate case, or contested matters in relations to FERC, acquisition and construction of generation assets Represents company interests in formal and informal legal proceedings, including federal, state or local judicial, or dispute resolution processes. Provides trusted analysis, proposed solutions, and representation.

Key Accountabilities
Participates in the resolution of complex, sensitive, and/or financially significant legal matters and ensures resolution in an efficient manner
Researches legal principles and precedents, including consulting with outside legal counsel to provide guidance, advice and support to business request legal matters, and recommendations on guidelines and policies
Anticipates significant legal issues in the practice area of expertise and develops innovative legal solutions that support business objectives
Creates and executes legal documents, including gathering relevant information using multiple sources and methods
Represents the company legally in job related workplace disputes or claims of employer wrongdoing (e.g., wrongful termination, contract disagreements, unemployment issues, and discrimination)
Develops legal resolutions with business problems in one or more specialized areas of legal practice
Provides expert guidance and work instructions to other professionals, para-professional, and legal team members
Represents and advocates for the company in litigation, arbitration, mediation or other disputes with courts, government agencies, or other legal authorities
Provides expert support across business unit activities ensuring that legal issues, contracts, disputes, and complex transactions are conducted within the due diligence of the legal framework.
Guides and directs leaders to ensure business units are operating in accordance with various legal parameters, regulatory, commercial and employment laws, including creation and regulation of corporations, and other legal entities, for local, state and federal regulations
Drafts and executes legal documents, including gathering relevant information using multiple sources and methods
Structures and negotiates complex financial transactions, often involving private placements, private equity, hedge funds, real estate, derivatives, and / or other alternative products.
Leads structural and corporate issues pertaining to acquisitions, divestitures, strategic alliances, leveraged buyouts, re-capitalization, spin-offs and tender offers. Conducts due diligence and uses this information to develop integrated revenue/expense analysis, projections, and reports.
Responsible for providing legal advice regarding regulatory issues working with other areas, like compliance, including advising on strategic regulatory issues and legislative matters
Minimum Education & Experience Requirements
Graduate of accredited law school and admitted to the bar in employee's state of residence with 15 years of experience as licensed attorney in any of the following areas: commercial transactions and/or mergers and acquisitions, federal and state regulatory law (energy), environmental, litigation, corporate finance and/or governance, and labor and employment law, inclusive of 5 years of direct, consistent state or federal regulatory practice before FERC or a state PUC including experience handling at least one of the following types of matters: integrated resource/generation planning, rate making/rate case, or contested matters before the FERC; or acquisition and/or construction of generation...
