Banker (Southfield, MI)

• Guide transaction process from start to finish as part of a deal team to define and execute transaction with focus on healthcare sector.
• Support all aspects of client/target company relationships including developing and engaging target buyers / investors / lenders, due diligence preparation and analysis, management communications/presentations and negotiations.
• Review proprietary financial models, such as M&A, DCF, and LBO valuations. Ensure the highest level of integrity and quality of materials, analysis and advice. 
• Create and augment internal deal execution systems and processes.
• Perform industry, company and financial due diligence and research. 
• Construct and maintain detailed financial models, valuations and develop sensitivity analyses with respect to key economic drivers. 
• Author internal memoranda and draft term sheets, letters of intent and other proposals.
• Review and comment on complex legal documents including operating documents and stock purchase agreements. Negotiate non-disclosure agreements and other legal documents with lawyers and potential buyers.
