Director, North America Legal
IMPACT and OPPORTUNITY
The Corporate Attorney position is a diverse and challenging role that requires exceptional business partnership, communication and organizational skills. The person in this role will serve as the business partner to the Senior Vice President of North America and be the primary point of contact for legal matters in the North America region. The Corporate Attorney will have the opportunity to make an impact on outcomes that affect various areas of the company by putting legal advice and analysis in the context of real-world problems and assist Gentherm business leaders in finding solutions.
ESSENTIAL FUNCTIONS AND RESPONSIBILITIES
Work collaboratively with internal legal and business teams to create standard practices, procedures and agreements for company engagements.
Work directly with Gentherm's business teams providing day to day advice and education on legal risks, complex business relationships and compliance topics.
Review, draft and negotiate agreements for all aspects of the business including intercompany agreements, credit and banking agreements, labor agreements, commercial agreements, and related terms and conditions.
Provide strategic advice on commercial matters to the business teams, including transaction structuring, contract interpretation and enforcement, risk assessment, legal and regulatory compliance and corporate policies.
Balance a workload consisting of urgent requests, while communicating proactively and remaining responsive to internal and external requests.
Maintain business registrations and legal entity filings with governmental authorities, in cooperation with Corporate Paralegal
Handle corporate legal formalities (e.g. shareholders resolution) and associated books, in cooperation with Corporate Paralegal
Oversee and manage compliance issues, Corporate Governance matters in cooperation with General Counsel and Director, Compliance
Review and assist in the implementation of new policies and procedures
Study and interpret laws, court decisions, ordinances and other legal regulations as needed to deliver legal services
Assist in developing company training plans and provide legal training
Communicate with external business and legal partners as needed, supported by internal personnel
Manage legal claims by third parties and company legal claims, supported by outside counsel and moderates company decision making
Assist in the preparation, review and negotiation of documents for complex transactions (e.g. acquisition or divestiture)
Support due diligence in connection with complex transactions
Work with members of the global Legal function on various projects as assigned
QUALIFICATIONS
MINIMUM QUALIFICATIONS:
Juris Doctorate Degree required, from an accredited school
Active license to practice law
5+ years professional experience as a practicing attorney or equivalent
Excellent communication skills
Fluency in English
