About the Role
HARMAN's Lifestyle Division produces audio, visual, and lighting products for the consumer and professional audio markets. The Corporate Counsel II will partner with key business leaders across various business functions within the Lifestyle Division (Americas) to deliver high-quality, creative, workable legal solutions that align with commercial objectives and minimize risk. This position will report directly to a senior member of the legal team, will collaborate with senior attorneys, and will interface with all internal business functions, including but not limited to sales, engineering/product, finance, customer service, operations, procurement, supply chain, compliance, HR, IT, and real estate functions. The Corporate Counsel II will also engage with key customers, partners, and advisors, on behalf of Harman.
Your Team
This position will work closely and strategically with the legal team and support functional and business leaders at all levels, including senior management.
What You Will Do
Deliver high-quality, timely legal advice based on sound legal principles.
Proactively establish relationships across the legal and business teams.
Collaborate with key business leaders to execute complex commercial initiatives and projects in a fast paced, growth-focused environment.
Interface with key customers in the consumer product/electronics and automotive OEM industry to review, draft, and negotiate complex commercial documents, including technology and brand licensing, development, and sales agreements for off-the-shelf and customized audio solutions.
Negotiate and defend product distribution agreements with a global network of dealers and distributors under local product distribution laws.
Advise key business leaders of their rights and obligations under their contracts, including exclusivity, order/inventory management, payment, default, termination, etc.
Understand key regulatory, ethical, and reputational risks.
Promptly identify and address legal and regulatory issues in commercial initiatives and customer agreements, including data privacy, export compliance, insurability, etc., and consult with appropriate business and legal partners to identify creative solutions and minimize risk.
Process uncertain or incomplete information quickly to identify potential implications for the business.
Manage and resolve global disputes by providing results-oriented strategic legal counseling.
Supervise external legal and non-legal service providers, prioritizing cost and quality.
Assist with corporate, MD&A, and other legal matters.
Support company litigation matters.
Support HR, including terminations, investigations, etc.
Conduct legal and compliance training.
Attend regular meetings with business leaders to provide updates on legal matters and stay apprised of the business teams' goals and projects.
Improve, develop, and implement commercial and legal processes.
Collaborate with other legal and compliance staff and organizational partners to develop, update, and maintain templates, negotiation resources, and playbooks.

What You Need
Juris Doctor from an ABA accredited law school and U.S. State Bar admission.
7+ years of relevant (generally in-house or law firm) business-related legal experience.
Thorough contract review, drafting, and negotiation experience related to multi-million-dollar commercial agreements.
Sound understanding of financial statements, budgets, accruals, forecasting.
Good judgement and sound decision-making ability. This position may take a significant role in broader strategic projects for the company.
Work well in a team environment (including virtually).
Ability to work independently and be managed remotely/virtually.
