CORPORATE PARALEGAL
IMPACT and OPPORTUNITY

ESSENTIAL FUNCTIONS AND RESPONSIBILITIES
Public Company Matters:
- Assist in matters related to the preparation, filing and distribution of Exchange Act reports, including Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, Section 16 Form 3 and Form 4 filings, Conflicts Minerals Report on Form SD and the annual Proxy Statement; and Annual Meeting
- Assist in matters related to administration of the Company’s Equity Incentive Plan and Insider Trading Policy governance
- Coordinate and assist in the preparation, filing and maintenance of state qualifications and annual reports
Company Secretary Matters:
- Maintain and respond to requests related to Company minute books and other corporate records (articles, bylaws, charters, policies, guidelines), SEC securities registrations (Forms S-3, S-8), including obtaining certified copies from government authorities
- Maintain information related to Company and international subsidiary legal representation, delegation of authority and powers of representation
- Assist in the preparation, distribution and maintenance of meeting materials for the Board of Directors and its committees, including assisting in preparation of minutes for prior meetings
- Assist with preparations for annual meeting, including preparation of meeting materials, coordinating meeting logistics and assisting at the meeting
OTHER CORE FUNCTIONS
Governance and Compliance Matters:
- Assist in the preparation, distribution and completion of director and officer questionnaires
- Maintain calendar of periodic disclosure/reporting requirements
- Assist General Counsel and Global Compliance Director in administration of Global Compliance Program components, including Nasdaq compliance matters, documentation, risk assessments and compliance plans, standards, policies and procedures and training and communication
General Legal/IP Matters:
- Maintain files on legal matters handled by the General Counsel
- Maintain and furnish Company legal forms, including form non-disclosure agreements, purchasing agreements, consignment agreements and employment agreements
- Coordinate review and execution of legal documents by General Counsel and IP Attorney & Associate General Counsel
- Assist with the administration of the Company’s intellectual property processes, including execution of invention, ownership and assignment documents
- Identify and implement improvements to current operations and workflows
QUALIFICATIONS
MINIMUM QUALIFICATIONS:
- Associates Degree in Paralegal Studies, Business, or closely-related field or Paralegal Certification
- 3 years of position-related experience
- Advanced proficiency in Microsoft Word, Excel, and PowerPoint.
- Demonstrated knowledge in areas of key accountabilities
- Attention to detail
- Impeccable judgment, discretion and integrity
- Excellent organizational skills and proven ability to support a fast-paced business
- Strong communication skills
PREFERRED QUALIFICATIONS:
- 5+ years of position-related experience
- Prior experience within an in-house or corporate paralegal role
