Beacon Hill Legal is partnering with a boutique law firm to identify an experienced Senior Corporate (M&A) Paralegal for a full-time, permanent opportunity. This position is fully remote, offers excellent benefits, unlimited PTO, and provides a highly competitive compensation package ranging from $110,000-$130,000, depending on experience. Key Responsibilities * Lead and project-manage M&A transactions from kickoff through closing and post-closing activities. * Develop, maintain, and drive transaction closing checklists, ensuring all deadlines and deliverables are completed efficiently. * Coordinate deal execution with attorneys, clients, brokers, lenders, escrow agents, and other third parties. * Prepare first drafts of transaction documents using firm templates and attorney guidance, including: * Asset Purchase Agreements * Equity Purchase Agreements * Disclosure Schedules * Ancillary Closing Documents (Bills of Sale, Consents, Certificates, etc.) * Prepare and update transaction and ownership structure charts using PowerPoint or similar tools. * Manage due diligence processes, including data room administration, document tracking, and due diligence summaries. * Prepare and file UCC financing statements and conduct lien, litigation, and judgment searches. * Coordinate signature packet execution, document distribution, closing binders, and post-closing deliverables. Qualifications * Minimum of 8 years of corporate transactional and M&A paralegal experience. * Strong experience supporting complex mergers, acquisitions, and related corporate transactions. * Exceptional project management and organizational skills. * Ability to manage multiple transactions simultaneously in a fast-paced environment. * Excellent communication skills and attention to detail. * Experience working independently in a remote environment is preferred.
