About this Opportunity
As a Corporate Paralegal, you'll assist Herman Miller attorneys in all phases of document review, including: forming a corporation, partnership, or other legal entity (U.S. and abroad); providing due diligence for mergers, acquisitions, and conversions; researching and drafting documentation; providing case management for litigation matters; assisting with intellectual property filing and portfolio management; and assisting with running the day-to-day operations of an in-house legal department.

Assist in reviewing due diligence documentation with respect to acquisitions/divestitures and mergers and/or conversions. You will prepare and track paperwork for mergers, acquisitions, dissolutions, amendments, and withdrawals.
Assist with document review and maintenance, as well as credentialing.
Assist with the preparation of various documents needed for the operation of various types of companies (i.e., resolution, written consents in lieu of a meeting, assignment agreements, minutes, purchase agreements, etc.).
Attend meetings as requested.
Communicate with the appropriate governmental offices to verify filings.
Create and maintain global corporate record books.
Draft shareholder consents and corporate resolutions and related documents.
Manage document review requests by communicating with clients, accumulating necessary client information, and informing clients of status reviews.
Patent and trademark management support and IP filing and filing management.
Perform additional responsibilities as requested to achieve business objectives.
Prepare and review legal documents, including employee contracts, confidentiality agreements, stock certificates, shareholder agreements, financial reports, articles, and lease agreements.
Research and prepare documentation for the formation and maintenance of corporate, partnership, and LLC entities.

A Bachelor's degree or equivalent certification for Paralegals.
A minimum of five years of experience in business department, corporate, and/or intellectual property support.
Knowledge of Herman Miller organization, policies, and procedures.
Excellent organizational and record-keeping skills, as well as a high level of accuracy and an attention to detail.
The ability to work independently with minimal supervision.
Knowledge about electronic document management systems.
The ability to organize and prioritize numerous tasks and complete them under time constraints.
Excellent interpersonal skills (email, telephone, and in person) and the ability to follow instructions effectively from a diverse group of clients, attorneys, and staff to provide information with courtesy and tact.
The ability to effectively use the office automation, communication, software, and tools currently being used in the Herman Miller office environment.
The ability to perform all essential functions with or without accommodation.
