Job Purpose
The Associate General Counsel, Contracts is responsible for a wide range of contracts-focused tasks, including negotiating, managing and advising on commercial contracts, risks and disputes, legal/regulatory obligations, and corporate policies.
Essential Responsibilities
Serve as a primary legal contact and negotiator for commercial contracts, including providing advice to business personnel, participating in negotiations and managing process/coordinating contract review by other Attorneys, as needed.
Draft and review a variety of commercial agreements (IT, SaaS, software/data license, cyber security, contractor and consultant, purchasing, administrative, confidentiality, intellectual property licenses, professional engagement letters, settlement, hotel, event and other goods and services).
Advise business regarding the interpretation of contracts, potential risks and strategy, with ability to balance business objectives/goals with legal risks and assist Company in achieving its business objectives.
Support and promote compliance of internal policies and procedures surrounding the contracting process.
Support and contribute to the internal contract database, including contract review requests, status of contract reviews and reporting.
Oversee outside counsel, as needed.
Maintain expertise and serve as subject matter expert on various matters, as requested by management.
Work collaboratively across various Legal teams and build and foster relationships across the Company.

Strong working knowledge of Microsoft Office, including Word, Access, Excel, and Outlook.
Education and Experience
Juris Doctorate from ABA accredited law school required.
Member in good standing of a State Bar Association required.
10+ years of contracting or contract law experience required.
Experience in IT Contracting preferred.
Cyber security and regulation experience preferred.
Experience with a contract management system preferred.
