Job Purpose
The Associate General Counsel reports to the Vice President & Assistant Secretary. The Associate General Counsel fulfills Corporate Secretary responsibilities for Jackson Financial Inc. (JFI) and its subsidiaries (excluding PPM) and provides legal counsel.
Essential Job Duties & Responsibilities
Serves as Assistant Secretary to JFI and subsidiary Boards and Committees (excluding PPM), which includes:
Working with the Vice President & Assistant Secretary to support the JFI Board of Directors, which requires attendance at Committee meetings, preparation of Board and Committee materials and minutes, and assistance with onboarding of new Directors;
Supporting JFI subsidiary Boards and Committees:
Ensuring compliance with applicable organizational documents (articles of incorporation/organization, bylaws/operating agreements and charters);
Overseeing maintenance of corporate record books;
Preparing organizational structure charts;
Assisting with entity management, subsidiary governance, Secretary's certificates and other corporate secretary functions;
Assisting with general corporate matters, including governance issues and corporate policies and procedures;
Assisting with shareholder matters, including coordination of shareholder lists and registrations, communication with Board members and Officers, and research and response to shareholder, Director and Officer requests for information;
Assisting with annual, regular and special Board of Director and Shareholder meetings and the setting and preparation of all necessary schedules, agendas and documents required for the meetings.
Maintains Company corporate registrations.
Manages the registered agent relationships.
Provides legal advice and counseling with respect to various securities, corporate governance and general corporate law matters.

Qualifications
Juris Doctorate from ABA accredited law school required.
Member in good standing of a State Bar Association required.
8+ years of in-house or large law firm experience handling public company corporate governance and securities matters required.
Experience working with public company Boards of Directors and executive-level management required.
Experience in financial services required.
Experience in annuity/life insurance industry preferred.
