Overview
Summary
Working in dynamic and fast-paced environment, the Logicalis Legal Department provides comprehensive legal and risk management services to the Company. Paralegal works independently on most matters but also with attorneys on special initiatives and projects. Assists General Counsel in managing and mitigating legal and business risks faced by Logicalis. Reviews and analyzes forms and business/legal commitments made by Logicalis in the conduct of its business. Drafts contract documents and resolves routine legal issues under direction of General Counsel.
Essential Duties and Responsibilities
* Reviews and redlines NDAs, SOWs and various other standard commercial agreements in accordance with company standards.
* Coordinates corporate filings for new and existing entities, submits documents to Secretaries of State and other regulatory authorities, and works with Company's registered agent.
* Manages all ongoing obligations including annual statements, franchise tax filings, and other required reports for entities in their registered and qualified states.
* Manages contract signature process including verification of all required approvals and authority of signatory have been obtained and proper forms have been filed.
* Prepares UCC filings and work with Company's registered agent to file UCCs.
* Maintains license database and ensures all licenses are up to date and renewed timely.
* Drafts various corporate resolutions, consents, and certifications.
* Assists with maintaining corporate documents in database.
* Assists Legal team with corporate projects, including creating presentations via PowerPoint, weekly team meeting agendas, and scheduling.
* Assists with appointment of officers and directors, effecting necessary changes from time to time.
* Coordinates notarization, certification, and apostille of corporate documents.
* Works with attorneys, other colleagues, and outside counsel on matters relating to corporate and regulatory filings and other corporate requirements under local law.
* Works with attorneys and other colleagues on corporate and other projects as needed.
* Performs various department administrative tasks, such as record keeping and corporate structure diagrams.
* Demonstrates and actively promotes an understanding and commitment to the mission of Logicalis through performing behaviors consistent with the organization's values.
* Maintains a working knowledge of applicable Federal, State, and Local laws and regulations as well as policies and procedures of Logicalis in order to ensure adherence in a manner that reflects honest, ethical and professional behaviors.
* Supports and conducts self in a manner consistent with customer service expectations.

Education/Experience/Technical Requirements/Certification
Education
* Bachelor's Degree or Paralegal Certificate from ABA accredited program.
Experience / Technical Requirements
* 5 years documented paralegal and contract analysis experience in corporate law department or private practice focused on business and corporate law.
* Understanding of contract concepts, negotiation strategies, efficient administration, and automation of contract processes.
* Proficient use of all Microsoft Office applications.
May consider an equivalent combination of education and experience .
Certifications
* Paralegal Certificate from ABA accredited program.
